SEC Goes Fully Digital: Company Registration Now 100% Online and Paperless

The Securities and Exchange Commission (SEC) of the Philippines has taken a bold step toward full digitalization with the implementation of a completely online and paperless company registration system — eliminating the need for notarized documents, physical signatures, and hard copy submissions.

Under SEC Memorandum Circular No. 3, Series of 2025, issued on April 4, 2025, the SEC now mandates all domestic stock corporations—excluding lending, financing, and foreign corporations—to register through the SEC Zuper Easy Registration Online (ZERO) platform. This initiative forms part of the Commission’s third wave of digitalization and reflects its strong push toward sustainability and regulatory efficiency.

SEC ZERO, an application under the Electronic Simplified Processing of Application for Registration of Company (eSPARC), requires company incorporators and officers authenticate documents digitally using the Electronic Submission Authentication Portal (eSAP) and a one-time password (OTP) system, creating an account via eSECURE, which verifies user identities and cross-checks Tax Identification Numbers with the Bureau of Internal Revenue, and One-Day Submission and E-registration of Companies (OneSEC), which remains available for fully Filipino-owned domestic corporations that is valid and legally binding.

This initiative is part of the SEC’s broader digital transformation strategy to streamline government services, reduce red tape, and promote accountability. Since its launch in July 2024, the ZERO platform has enabled the registration of 1,874 companies, and that number is expected to grow rapidly.

The SEC’s transition to a fully digital registration process marks a significant step in improving the ease of doing business and fostering economic activity through digital innovation and more connected Philippine economy.
